These Terms of Service constitute an agreement between you and the provider of TimeExacto. By creating an account, accessing the website, installing an application, or using any TimeExacto service, you agree to comply with these terms.

If you use TimeExacto on behalf of a company, organization, or other legal entity, you represent that you have authority to accept these terms on its behalf.

If you do not agree with these terms, you must not access or use TimeExacto.

2. Description of Service

TimeExacto is a human resource and workforce management platform that may provide features such as:

• Employee record management
• Timekeeping and attendance monitoring
• Work schedules and shift assignments
• Leave and request management
• Payroll-related processing and reports
• Employee self-service features
• Location-enabled attendance verification
• Workforce reports and data exports

Available features may vary depending on the account, subscription, organization settings, user role, device, location, or service plan.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.

You agree to:

• Provide accurate and complete account information
• Keep your account information current
• Use a secure and confidential password
• Not share your login credentials with unauthorized users
• Immediately report suspected unauthorized account access

Your organization may create, manage, restrict, deactivate, or remove your account in accordance with its policies.

4. Acceptable Use

You may use TimeExacto only for lawful and authorized business or employment-related purposes.

You must not:

• Use the service for illegal or fraudulent activity
• Submit false attendance, payroll, or employee information
• Access another person’s account without authorization
• Attempt to bypass security controls or permissions
• Interfere with the service, servers, or network
• Upload malicious software, scripts, or harmful files
• Reverse engineer or copy protected parts of the service
• Use automated systems to improperly collect data
• Use TimeExacto to harass, discriminate against, or harm another person

5. Customer and Employee Data

Organizations using TimeExacto may submit employee, attendance, payroll, schedule, document, and other workforce-related information.

The organization is responsible for ensuring that it has the legal right and appropriate authority to collect, upload, manage, and process such information.

Users must only access employee information necessary for their assigned duties and permissions.

The handling of personal information is also governed by the applicable TimeExacto Privacy Policy and the organization’s own internal privacy notices and employment policies.

6. Location Services

Certain TimeExacto features may use device location information to verify where an attendance event, clock-in, clock-out, or other authorized activity occurred.

Location-enabled features may require the user to grant location permission through the device, browser, or mobile application.

The organization using TimeExacto is responsible for informing employees about:

• What location information is collected
• Why the information is collected
• When location collection occurs
• Who may access the information
• How long the information may be retained

7. Service Availability

We work to keep TimeExacto available and functioning properly. However, uninterrupted or error-free service cannot be guaranteed.

Access may be temporarily unavailable because of:

• Scheduled maintenance
• Emergency repairs
• Software or infrastructure updates
• Internet or telecommunications interruptions
• Third-party service outages
• Security threats or unauthorized activity
• Events beyond reasonable control

8. Fees and Subscriptions

Some TimeExacto services may require payment under a subscription, service agreement, quotation, or other commercial arrangement.

Applicable fees, billing schedules, included features, user limits, renewal terms, and cancellation conditions will be stated in the applicable agreement or order.

Unless otherwise stated in writing, fees already paid may be non-refundable to the extent permitted by applicable law.

9. Intellectual Property

TimeExacto and its related software, designs, source code, branding, logos, documentation, text, graphics, interfaces, and other materials are protected by applicable intellectual property laws.

These terms do not transfer ownership of TimeExacto or its intellectual property to any user or organization.

You may not copy, reproduce, distribute, modify, sell, license, or create derivative works from protected TimeExacto materials without written authorization.

10. Third-Party Services

TimeExacto may integrate with or provide links to third-party platforms, applications, payment providers, mapping services, email providers, hosting platforms, or other external services.

Third-party services are governed by their own terms, policies, and availability. TimeExacto is not responsible for the content, security, performance, or practices of third-party services.

11. Suspension and Termination

Access to TimeExacto may be suspended, restricted, or terminated when:

• These terms are violated
• Fees remain unpaid
• The account presents a security risk
• The service is used unlawfully or fraudulently
• The organization requests account deactivation
• A subscription or agreement expires or is terminated

The organization remains responsible for exporting or retaining information it is legally required to keep, subject to the applicable agreement and data-retention policies.

12. Disclaimers

TimeExacto is provided on an “as available” and “as is” basis to the extent permitted by applicable law.

TimeExacto is a workforce management tool and does not constitute legal, accounting, tax, payroll, employment, or professional advice.

Organizations remain responsible for reviewing payroll, attendance, scheduling, employment, and compliance decisions before taking final action.

13. Limitation of Liability

To the maximum extent permitted by applicable law, TimeExacto and its providers will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages arising from the use or inability to use the service.

This includes loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings.

Any limitation of liability will be subject to the specific commercial agreement between TimeExacto and the subscribing organization and applicable law.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless TimeExacto and its providers from claims, damages, losses, liabilities, and expenses resulting from:

• Your misuse of the service
• Your violation of these terms
• Your violation of another person’s rights
• False, unlawful, or unauthorized data you submit

15. Changes to These Terms

These Terms of Service may be updated to reflect changes in the service, business practices, technology, or legal requirements.

The updated version will be posted on this page with a revised effective date. Continued use of TimeExacto after an update takes effect constitutes acceptance of the revised terms.

16. Governing Law

These terms will be governed by the applicable laws specified in the agreement between TimeExacto and the subscribing organization.

Where no separate written agreement applies, governing law and dispute resolution will be determined according to applicable law and the jurisdiction in which the TimeExacto service provider operates.
